Client Master Services Agreement the CMSA
Executed once per client. Sets the operating framework: governing law, dispute resolution, confidentiality, non-circumvention, force-majeure, and general commercial terms. Individual scopes reference this master through Purchase Orders, Notices to Proceed, or Statements of Work. This structure is designed for enterprise procurement and recognized by hospitality chains, estate clients, and construction principals.
Supplier Master Sourcing Agreement the SMSA
Executed once per supplier. Sets the sourcing framework covering pricing discipline, exclusivity where warranted, quality and timeliness standards, indemnity, and confidentiality. Individual scopes reference this master through Purchase Orders or Statements of Work. Supplier identities are held under GSSC client-facing discretion policy in all client materials.
Non-Circumvention standard term
Default 24-month tail on all engagements. Narrowed to minimum necessary scope in compliance with RA 10667 (Philippine Competition Act). Custom-item exclusivity limited to 12 months and to Western Visayas absent express client agreement.
Non-Disclosure standard term
Five-year confidentiality tail on all information exchanged under CMSA or SMSA. Mediator confidentiality carved into NDA. GSSC operates a strict client-facing discretion posture: supplier identities, unit pricing, margin logic, bank details, and legacy company names are excluded from all client-facing materials by policy.
Force Majeure 4-element test
Applied per Yobido v. Court of Appeals and Metro Concast Steel Corporation v. Allied Bank: (1) event independent of human will; (2) unforeseeability or unavoidability; (3) impossibility of performance in the normal manner; (4) obligor free of participation or aggravation. Financial difficulty does not qualify. Seven-day notice requirement; mitigation duty attaches per Civil Code arts. 1174 and 1262.
Dispute Resolution 2020 Revised ADR Rules
Mediation followed, if necessary, by domestic arbitration seated in Iloilo City under the 2020 Revised ADR Rules (A.M. No. 20-06-01-SC). Construction disputes expressly designated for CIAC jurisdiction per Chua v. De Castro (2024) and Fleet Marine v. MJAS (2024). Venue: courts of Iloilo City.
Payment Framework Tier A / Tier B
Tier A engagements at PHP 1,000,000 and above: 50 percent downpayment on NTP; 50 percent balance Net 30 from commissioning. Tier B engagements below PHP 1,000,000: Net 30 from delivery or commissioning; no downpayment required. Scope-specific quotations carry their own thirty (30) calendar-day validity.
Documentary Stamp Tax DST
Fixed at PHP 30 per document under Section 188 NIRC (CMSA, SMSA, Secretary Certificates). Section 195 applied to Purchase Orders with 50/50 client-side reimbursement per standard commercial practice.
